1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Quantum Sync LLC, a limited liability company organized under the laws of the United States ("we," "us," or "our"). Your access to and use of the Quantum Sync LLC website located at its primary domain and all associated pages, features, content, and services signifies your unconditional acceptance of these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to "you" shall also refer to that organization. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services.

2. Use of the Website & Services

Quantum Sync LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes, subject to these Terms. This license does not include the right to resell or make commercial use of the Services or their contents; to collect or use any product listings, descriptions, or pricing for the benefit of a third party; or to make any derivative use of the Services or their contents.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability. We may also impose limits on certain features or restrict your access to all or part of the Services without notice or liability.

3. Appointments, Bookings & Cancellations

Where the Services allow you to schedule consultations, appointments, or other bookings, the following terms apply:

• Scheduling: All bookings are subject to availability. Confirmation of a booking request does not guarantee availability until you receive an explicit confirmation from Quantum Sync LLC.
• Cancellations & Rescheduling: If you need to cancel or reschedule, please notify us at least 24 hours in advance by contacting justin@automaticdesigns.co. Cancellations made with less than 24 hours' notice may be subject to a cancellation fee as communicated at the time of booking.
• No-Shows: Failure to attend a scheduled appointment without prior notice may result in forfeiture of any deposit paid and may affect your ability to make future bookings.
• Refunds: Refund eligibility for pre-paid services is determined at Quantum Sync LLC's sole discretion and communicated to you at the time of purchase or booking confirmation.

4. Intellectual Property

All content on the Quantum Sync LLC website and Services — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the property of Quantum Sync LLC or its content suppliers and is protected by applicable United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Quantum Sync LLC name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Quantum Sync LLC. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You may view, download for caching purposes only, and print pages from the Services for your own personal use, subject to the restrictions set out in these Terms. Any other use — including reproduction, distribution, modification, or republication — requires our express written consent.

5. Acceptable Use & User Conduct

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Services. Specifically, you agree not to:

• Violate any applicable local, state, national, or international law or regulation.
• Transmit any unsolicited or unauthorized advertising, promotional material, spam, or chain letters.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services.
• Engage in data mining, scraping, crawling, or any other automated data-gathering activity without our prior written consent.
• Upload, transmit, or distribute any viruses, malware, or other harmful code.
• Harass, threaten, defame, or engage in any conduct toward Quantum Sync LLC staff, representatives, or other users that is harmful, offensive, or disruptive.
• Use the Services in any manner that could disable, overburden, damage, or impair its proper functioning.

Quantum Sync LLC reserves the right to terminate or suspend your access to the Services immediately, without prior notice, if we reasonably believe you have violated any provision of this section or these Terms generally.

6. Disclaimers

THE SERVICES AND ALL CONTENT, INFORMATION, AND MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUANTUM SYNC LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Quantum Sync LLC does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Services will be accurate or reliable; (c) any errors in the Services will be corrected; or (d) the Services or the servers that make them available are free of viruses or other harmful components.

Any information or content available through the Services is provided for general informational purposes only. Quantum Sync LLC makes no guarantee of specific results from the use of the Services. Your reliance on any such information is solely at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUANTUM SYNC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES OR ANY CONTENT THEREON, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN ALL CASES, QUANTUM SYNC LLC'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO QUANTUM SYNC LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless Quantum Sync LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Services; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content you submit, post, or transmit through the Services. This indemnification obligation will survive termination of your use of the Services and these Terms.

9. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and, to the extent applicable, the laws of the state in which Quantum Sync LLC is registered, without giving effect to any choice-of-law or conflict-of-law rules that would cause the application of the laws of any other jurisdiction.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the United States, and you hereby irrevocably consent to personal jurisdiction and venue therein. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

10. Changes to These Terms

Quantum Sync LLC reserves the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon posting to the Services and apply to all access and use of the Services thereafter. The "Last updated" date at the top of this page will reflect the date of the most recent revision.
